Company Matters assists clients in a range of ways including: - as an outsourced company secretary - as a part-time company secretary - with ad hoc or project based company secretarial support or - to provide corporate governance or legal advice. At Company Matters, we have staff ranging from administration assistants to chartered secretaries and partner level lawyers – the combined experienced of our staff makes certain that we have the right mix of people and skills for any task. Company Matters supports a large number of companies operating across many different sectors. Our clients include ASX listed, public unlisted, proprietary, foreign and not-for-profit entities as well as public sector entities and state owned corporations. GOVERNANCE CONSULTING - appointment to the statutory position as company secretary (whereby clients can outsource the entire company secretarial function) - reviewing of the governance framework and procedures - drafting and advising on charters, policies and corporate governance statements - identifying the processes and format for reporting in-line with the governance framework and governance materials - reviewing the content and format of board and committee papers and minutes advising on compliance with the Corporations Act - compiling director induction packs - drafting board and committee self assessments - reviewing ASX announcements and provision of continuous disclosure advice - ASX liaison -providing other regulatory policy advice and liaison (eg. ASIC, Office of Fair Trading) - attending and advising on procedures at shareholder or member meetings COMPANY SECRETARIAL SERVICES - attending board and committee meetings and preparing minutes and matters arising - drafting directors’ resolutions, for example: share issues, approval of statutory financial accounts, annual solvency resolution, change of directors or officers - drafting shareholder or member resolutions, for example: appointment of directors, change of company name, amendment to the constitution, capital reductions - company incorporations and de-registrations - business name, ABN, TFN and GST registrations - reviewing, updating and maintenance statutory registers in accordance with the Corporations Act - reviewing, updating and maintenance of all corporate registers, including relevant interests/share trading registers, contracts registers, IP registers - attending to annual ASIC returns and regular filings - provision of registered office - appointment as local agent for foreign registered companies - preparing and filing of ASX periodic and compliance appendices LEGAL SERVICES - employee incentive plans (and share plan/performance plan/option plan structure and design) executive service agreements - notices of meeting - dividend reinvestment plans - entitlement issues (such as share purchase plans and rights issues) - share buy backs and selective capital reductions - confidentiality agreements - powers of attorney - deeds of indemnity - public notary
